Terms of Service

1. Agreement to Terms

By accessing or using turnkeyeventsai.com (the "Platform") operated by Turnkey Events A.I. ("Turnkey," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Description of Service

Turnkey Events A.I. is a private entertainment concierge and event planning platform that uses artificial intelligence to match clients with vetted entertainment performers in Vancouver, British Columbia.

Our services include:

• AI-powered event planning consultations
• Curated entertainment performer recommendations
• Proposal generation and booking facilitation
• Free event planning tools (budget calculators, timeline planners, toolkits)
• Performer onboarding and profile hosting

We are a concierge service, not a marketplace. We recommend specific performers based on event fit — we do not post your event publicly or solicit competing bids.

3. Free Service

Turnkey Events A.I. is free to use for clients and event planners:

• All planning and matching services are provided free of charge to clients
• No booking fees or commissions are charged to clients
• Services may change, be modified, or be discontinued without notice
• We make no guarantees regarding uptime, availability, or uninterrupted service

4. Eligibility

You must be at least 16 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

5. User Accounts and Information

You agree to provide accurate, current, and complete information when using our chatbot, submitting applications, or communicating with us. You are responsible for the accuracy of all information you provide.

Performer applicants acknowledge that information submitted through the onboarding process (including stage name, biography, photos, pricing, and availability) may be displayed on the Platform and shared with prospective clients.

6. How We Operate

6.1 For Clients

Our AI concierge conducts a brief consultation to understand your event. Based on your responses, we recommend one to three performers from our vetted roster. If you approve a recommendation, we facilitate an introduction between you and the performer.

We are facilitators, not parties to the booking. The contractual relationship for any entertainment services is between you and the performer. Turnkey is not a party to that agreement and is not liable for the performance, conduct, cancellation, or any other aspect of the entertainment services provided.

6.2 For Performers

By applying to Turnkey, you authorize us to:

• Display your profile, photos, biography, and category on the Platform
• Share your profile and contact information with clients who approve a recommendation
• Use your stage name and likeness in connection with the Platform

You retain ownership of all content you submit. You grant Turnkey a non-exclusive, royalty-free license to use, display, and distribute your submitted content solely in connection with operating the Platform.

7. AI-Powered Services

Our concierge uses artificial intelligence (Anthropic's Claude API) to conduct conversations, generate recommendations, and create proposals.

You acknowledge that:

• AI-generated recommendations are suggestions, not guarantees of suitability
• Conversations are processed by third-party AI infrastructure (Anthropic)
• AI responses may occasionally contain errors or inaccuracies
• You are responsible for your own booking decisions

8. Booking and Payments

8.1 Current Model

No payments are currently processed through the Platform. Any financial arrangements for entertainment services are made directly between the client and performer.

8.2 Future Payment Processing

When payment processing is introduced, additional payment terms will be published and your continued use will constitute acceptance of those terms. We will provide reasonable notice before any fees take effect.

9. Prohibited Conduct

You agree not to:

• Provide false or misleading information
• Use the Platform for any unlawful purpose
• Attempt to access, tamper with, or use non-public areas of the Platform
• Interfere with or disrupt the Platform or its infrastructure
• Scrape, harvest, or collect data from the Platform by automated means
• Impersonate any person or entity
• Use the Platform to transmit spam, malware, or harmful content
• Circumvent the Platform to avoid future fees or commissions
• Solicit performers or clients obtained through the Platform for the purpose of diverting business away from Turnkey

10. Intellectual Property

All content on the Platform — including text, graphics, logos, images, software, AI prompts, and the overall design and compilation — is the property of Turnkey Events A.I. or its licensors and is protected by Canadian and international copyright, trademark, and intellectual property laws.

"Turnkey Events A.I.," the Turnkey logo, and "Olivia" are trademarks of Turnkey Events A.I. You may not use our trademarks without prior written consent.

11. Disclaimer of Warranties

The Platform and all services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by law, we disclaim all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that:

• The Platform will be uninterrupted, secure, or error-free
• The results obtained from the Platform will be accurate or reliable
• Any performer recommended will meet your expectations
• Any defects will be corrected

12. Limitation of Liability

To the maximum extent permitted by applicable law, Turnkey Events A.I., its founders, employees, agents, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, whether based on warranty, contract, tort, negligence, or any other legal theory, arising out of or in connection with your use of the Platform.

In no event shall our total liability to you for all claims exceed the greater of: (a) the amount you paid to us in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

This limitation applies regardless of whether we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Turnkey Events A.I. and its founders, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Any dispute between you and a performer or client introduced through the Platform

14. Dispute Resolution

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Platform shall first be addressed through good faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration administered in Vancouver, British Columbia, in accordance with the Arbitration Act of British Columbia.

You agree that any claims shall be brought in your individual capacity only, and not as a plaintiff or class member in any purported class or representative proceeding.

15. Termination

We may suspend or terminate your access to the Platform at any time, for any reason, without notice. Upon termination, all provisions of these Terms that by their nature should survive will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

If you are a performer and your access is terminated, we will remove your profile from the Platform within 30 days.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes take effect when posted on this page. If we make material changes, we will make reasonable efforts to provide notice. Your continued use of the Platform following posted changes constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Turnkey Events A.I. regarding the Platform and supersede all prior agreements and understandings.
